Welcome to the digital platforms and services operated by FS Consulting, including our connected brands Talenph and Voxia Labs (referred to collectively as “FS Consulting,” “we,” “our,” or “us”). These Terms of Service govern your access to and use of our websites, platforms, and the services we provide. By accessing or using our services, you agree to be bound by these Terms along with our Privacy Policy. If you do not agree, you should discontinue use of our services immediately.

FS Consulting operates as a global consulting, recruitment, and outsourcing solution, connecting businesses worldwide with highly skilled professionals. Our services include, but are not limited to:

• Talent sourcing, screening, and matching

• Facilitation of contracts and ongoing engagements

• Payment coordination and client–talent relationship support

• Technology and operational solutions under Voxia Labs

We act solely as an intermediary and facilitator. Any direct working relationships formed between clients and talent are the responsibility of those parties.

2. User Eligibility and Conduct

To use our services, you must:

• Be at least 18 years of age

• Have the legal authority to enter into binding agreements

• Provide accurate, truthful, and complete information

Businesses must be legally authorized to engage contractors or freelancers. Talent must be legally permitted to perform professional work in their respective jurisdictions.

Users agree not to engage in any unlawful or prohibited activities while using our services, including fraud, harassment, unauthorized access, or misuse of confidential data.

3. Payments and Fees

All contracts and payments facilitated through FS Consulting are subject to agreed service fees, billing schedules, setup costs, and talent compensation terms.

• Clients are responsible for timely payment of all fees

• Payments are processed using secure third-party providers

• FS Consulting may suspend or terminate services due to late or failed payments

All pricing and fee structures will be communicated clearly before engagement.

4. Confidentiality

Confidentiality is essential to our operations. Clients, talent, and FS Consulting each agree to safeguard all proprietary, sensitive, or confidential information. Where appropriate, we may facilitate the execution of Non-Disclosure Agreements (NDAs) to provide additional protection.

5. Intellectual Property

All content hosted on FS Consulting platforms, including but not limited to logos, graphics, written content, and software, remains the exclusive property of FS Consulting or its licensors. No user may copy, reproduce, distribute, or exploit this material without prior written consent.

6. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis. While we strive to connect clients with highly capable talent and deliver robust solutions, FS Consulting does not guarantee specific performance outcomes. To the fullest extent permitted by law, FS Consulting disclaims liability for indirect, incidental, consequential, or punitive damages related to service use.

7. Suspension and Termination

We reserve the right to suspend or terminate accounts or access privileges if:

• These Terms are violated

• Fraudulent or abusive activity is detected

• Payment obligations are not fulfilled

8. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Philippines, without regard to conflict of law principles.

9. Changes to Terms

FS Consulting may update or modify these Terms periodically. Any changes will be posted here with a revised effective date. Continued use of our services indicates acceptance of updated Terms.
